Terms of Service
These terms are an agreement between you and the operator of Dead Point named in section 12 ("we"). By creating an account or using Dead Point you accept them. If you use Dead Point for a company, you accept them for that company and confirm you may do so.
1. The service
Dead Point helps IT studios, agencies and freelancers estimate project timeline and budget and share the estimate with their client by link for approval. It runs at app.deadpoint.app with the website at deadpoint.app.
The service is free. We do not charge you and do not ask for payment details. If we ever introduce paid features, we will tell you in advance, and nothing will be charged without your separate agreement.
2. Your account
- You must be at least 16 years old
- Give a real email address you control. Sign-in links and approval notices are sent there
- Keep your sign-in links and password to yourself. You are responsible for what happens in your account
- Tell us at privacy@deadpoint.app if you think someone else has accessed it
3. Your content
- Estimates, projects, texts, logos and other data you add ("your content") stay yours
- You give us permission to store, process and display your content only to run the service for you, including showing it to people you share it with
- You confirm you have the right to upload your content and, for personal data of other people, a legal basis to do so (see section 9)
- We do not use your content for advertising and do not sell it
4. Shared links
- A shared link shows a snapshot of your estimate to anyone who has the link, and the password if you set one
- You decide who gets the link. You can revoke it at any time; after that it stops working
- If you name an approver, we email them a one-time code so they can approve or request changes. Their decision is recorded and shown to you
- An approval in Dead Point records your client's response to the estimate. Whether it forms a contract between you and your client is a matter between you and them
5. Acceptable use
Do not:
- break the law or infringe other people's rights
- upload malware or content meant to deceive or harm the people you share links with
- use shared links for spam or phishing
- try to access other users' data, bypass limits or security, or overload the service
- scrape the service or resell it without our written permission
We may remove content or suspend an account that breaks these rules. Where reasonable, we will warn you first and explain why.
6. Availability
We provide Dead Point "as is" and "as available". We work to keep it running and your data safe, but we do not promise it will be uninterrupted or error-free. Calculations are a planning aid; check the results before you rely on them. We may change or remove features. For significant changes that affect your use, we will give notice in advance where possible.
Keep your own copy of anything important. You can download a shared estimate as a spreadsheet from its link page.
7. Liability
Dead Point is free. To the extent the law allows:
- we are not liable for indirect or consequential loss, lost profit or lost data
Nothing in these terms limits liability that cannot be limited by law, such as liability for intent, gross negligence, or injury to life, body or health, or your mandatory rights as a consumer.
8. Ending the agreement
- You can stop using Dead Point at any time. To delete your account, write to privacy@deadpoint.app from your account email; you can delete a workspace yourself in its settings
- If you own a workspace that has other members, remove them first; we will not delete a workspace other people still use
- After deletion your data is erased as described in the Privacy Policy, section 7
- We may end the agreement with 30 days' notice by email, or immediately if you seriously breach section 5
9. Data processing for your clients' data
This section applies when your content includes personal data of other people, for example your client's name and email entered for approval or names in an estimate. For that data you are the controller and we are your processor (Art. 28 GDPR).
- Subject and duration: hosting and delivering your estimates, shared links and approval emails, for as long as you use the service
- Data and people: names, email addresses, company, job title, comments and any other personal data you choose to enter, about your clients and contacts
- Instructions: we process that data only to provide the service as you use it, unless the law requires otherwise; we will tell you if we think an instruction breaks the law
- Confidentiality: people who can access the data are bound to confidentiality
- Security: we apply the measures described in the Privacy Policy, section 9
- Sub-processors: you authorise the processors listed in the Privacy Policy, section 5. We will announce new ones on that page at least 14 days in advance; you may object by deleting the affected data or your account. We impose the same data protection duties on them
- Help with requests: we help you answer requests from the people whose data you entered and with security, breach notification and impact assessments, as far as we reasonably can
- Breaches: we tell you without undue delay after we become aware of a personal data breach affecting that data
- End: when you delete the data or your account, we erase it as described in the Privacy Policy, section 7
- Audits: on request we give you the information needed to show compliance with this section
- Your duties: you need a legal basis to enter the data and you inform your clients, for example that their approval is recorded in Dead Point
10. Changes to these terms
We may update these terms. We will post the new version here and, for significant changes, notify signed-in users by email or in the app at least 30 days before they apply. If you do not agree, you can delete your account before then.
11. Governing law and disputes
These terms are governed by the law of Georgia. Disputes are resolved by the courts of Georgia. If you are a consumer, you keep the protection of the mandatory law of your country of residence, including the right to go to court there.
